Cyprus Company Formation in 2025: Corporate Tax Rate Rise and What It Means for Your Structure

In January 2025, Cyprus formally enacted the increase in its headline corporate income tax rate from 12.5% to 15%, aligning with the OECD/G20 Pillar Two global minimum tax framework. For businesses currently structured in Cyprus or considering relocation of their corporate headquarters, understanding the precise impact of this change — and the substantial offsetting incentives that remain — is essential.

**The Rate Change in Context**

Cyprus's previous 12.5% rate had been one of the lowest in the EU since its introduction in 2003. The Pillar Two rules, agreed by over 140 jurisdictions, set a global minimum effective tax rate of 15% for multinational enterprises with annual consolidated revenues exceeding €750 million. Importantly, the majority of Cyprus-based SMEs, holding companies, and founder-owned businesses fall below this threshold.

For entities below the €750 million revenue threshold, the 15% rate is the applicable standard rate — and Cyprus has confirmed no plans to increase beyond this level.

**What the New Rate Means in Practice**

A Cyprus company earning €1,000,000 in net profit now pays €150,000 in corporate income tax, versus €125,000 previously. This €25,000 differential is meaningful, but must be assessed against the full suite of incentives that remain unchanged.

The following key tax advantages are entirely unaffected by the rate increase:

- **IP Box Regime:** An 80% notional deduction on qualifying IP profits continues to produce an effective rate of 2.5% on software, patents, and trade secrets.

- **0% Dividend Withholding Tax:** No withholding on dividends paid to non-resident or Non-Dom shareholders.

- **50% Executive Incentive:** First-time employed individuals earning over €55,000 annually receive a 50% income tax exemption for up to 17 years.

- **No Capital Gains Tax on Securities:** Gains from the disposal of shares and other qualifying securities remain entirely exempt from capital gains tax.

- **Loss Carry-Forward:** Trading losses may be carried forward for five consecutive years.

**The IP Box Advantage Persists**

For technology companies, SaaS businesses, and any firm whose revenues are substantially derived from intellectual property, the IP Box remains the defining competitive advantage of the Cyprus tax framework. An 80% notional deduction on qualifying income means that a software company earning €500,000 in royalties or licensing fees pays tax on only €100,000 — resulting in a €15,000 tax liability, or an effective rate of 3% at the new corporate rate.

The Nexus Approach (OECD BEPS Action 5) requires that R&D expenditure underpinning the IP must have been incurred by the Cyprus entity itself. We advise clients to structure development contracts and employment arrangements carefully from inception to ensure compliance.

**Formation Timeline Remains Competitive**

The administrative framework for Cyprus company formation is unchanged. Name approval, incorporation, and Tax Identification Number (TIC) issuance can be completed within 10 working days. VAT registration typically follows within 5–10 additional days.

**Ellinas Law's Recommendation**

The rate increase from 12.5% to 15% does not materially alter Cyprus's attractiveness as a corporate domicile for most founder-owned and SME structures. The combination of 2.5% effective IP Box rate, 0% dividend WHT, and the 50% executive incentive continues to place Cyprus firmly among the most efficient holding and operational jurisdictions in Europe.
